Position Description

Our contracts team negotiates the legal terms in our SaaS, Software License, and Services Agreements with our customers and finalizes the associated Order Forms and Statements of Work.  Many but not all negotiations start with Deque’s standard form of agreement.


The team works closely with Sales, Information Security, Services, Product Management, Operations, and Accounting to ensure our customer agreements are clear, consistent with our business practices, and risk-limiting. For complex or unusual contracts, the team is supported by outside counsel.


Driven by the growth of our core business and global expansion, the number and complexity of transactions have increased to the point where this new role is essential for our continued success.

This USA-based role will negotiate revenue agreements with large customers who require the use of their forms of agreement.

Primary Responsibilities

  • Draft, review, and negotiate revenue-generating agreements, including software licensing, SaaS subscriptions, professional services, and other commercial contracts.
  • Ensure contracts align with the company’s business objectives, legal standards, and risk tolerance.
  • Collaborate with sales and business development teams to structure deals, resolve legal roadblocks, and close transactions efficiently.
  • Provide timely guidance on contract-related legal issues during the negotiation process.
  • Identify legal and business risks associated with revenue contracts and propose solutions to mitigate them.
  • Monitor contract compliance, highlighting any potential legal or financial exposure.
  • Draft and maintain up-to-date contract templates, playbooks, and negotiation guidelines to streamline the contract process.
  • Ensure templates adhere to legal best practices, regulatory changes, and evolving business needs.
  • Oversee the contract lifecycle, including execution, amendments, renewals, and termination.
  • Assist in implementing and improving contract management tools or processes.
  • Train internal stakeholders (e.g., sales and procurement teams) on contract terms, negotiation strategies, and company policies.
  • Foster awareness of legal risks and best practices related to revenue contracts.
  • Monitor changes in legal, regulatory, and industry trends that could impact revenue contracts.
  • Provide proactive recommendations to address emerging risks and opportunities.

Requirements

  • Someone whose values align with ours.
  • J.D. from a reputable law school and bar admission in a state.
  • At least two years of experience at a law firm in the commercial contracts practice, focusing on Technology Contracts, ideally globally.
  • At least two years of experience supporting IT procurement for a Fortune 500 company or Sales at a B2B SaaS or Enterprise Software company.
  • Current knowledge of information security and data privacy requirements of large banks and other financial services companies in the USA and the equivalent for large EU-based multinational companies.
  • Interest in understanding our market segments and the details of our business operations.
  • Effective communicator with both internal and external professionals of all types and backgrounds.
  • Creative and pragmatic negotiator.
  • Familiarity with US FARS/DARS and the management of a GSA schedule.
  • Experience with contracting with European companies.
  • Experience with a contract management system, such as Ironclad.
